

Professor John Niland, AC
Chairman and Independent Director
John is a Professor Emeritus of the University of New South Wales (UNSW). He was Vice-Chancellor and President of UNSW from 1992 to 2002 having joined UNSW from ANU in 1973 as Professor of Economics. Before that he completed a PhD at the University of Illinois and was on the faculty at Cornell University. He served as President of the Australian Vice Chancellors Committee from 1998 to 1999.
Professor Niland is currently an Independent Director on the Board of Macquarie Bank Limited and is a member of the University Grants Committee of Hong Kong and a member of the Board of Trustees of Singapore Management University, where he chairs the Finance and Remuneration Committee. He is Chairman of the Centennial and Moore Park Trust, and he is on the Board of the National Trust of Australia (NSW). John is a former Chief Executive of the State Pollution Control Commission and Executive Chairman of the Environment Protection Authority. He has served on the Australian Universities Council, the Prime Minister’s Science, Engineering and Innovation Council, the Boards of realestate.com.au Limited as Chairman, St Vincent’s Hospital and the Sydney Symphony Orchestra Foundation, and the Sydney Olympic bid’s Building Commission. He is a Fellow of the Australian Institute of Company Directors.

Professor Steve Burdon
Director
Steve is a Visiting Professor of Management at the University of Technology (Sydney) and CASS Business School (London). He is a Fellow of the Australian Institute of Company Directors, Australian Institute of Management (AIM), and the Institution of Engineers Australia respectively. He previously held the position of Managing Director of OTC, Group Managing Director of Telstra, Managing Director of British Telecom Asia-Pacific, Associate Professor and Fellow at the Melbourne Business School.
Steve is a Director of Transfield Services Limited, VisAsia, Criteria Research and Analysis Pty Limited. In addition, he is Deputy Chairman of AIM Advisory Board. Steve has been on the Board of over a dozen private and public organisations in Australia, NZ, Japan, India and Hong Kong.
Professor Steve Burdon is a Transfield nominated Director however he also meets the test of “External Director” as defined in section 601JA of the Corporations Act and the assessment of independence under the ASX Corporate Governance Council’s “Principles of Good Corporate Governance and Best Practice Recommendations”.

Walter Carpenter
Independent Director
Walter Carpenter commenced his career in 1980 with Price Waterhouse in Sydney, moving into merchant banking in 1983 with ABN Bank then to Lloyds Bank and Jardine Fleming. During this period, Walter developed a comprehensive understanding of corporate and project finance.
Walter joined the First Pacific Davies Group as General Manager, Hong Kong in 1989. In 1992 Walter returned to Sydney to establish a property services franchise of First Pacific Davies. Under his leadership the business grew to employ over 1,000 people. Walter sold the business to Savills PLC in 2003. Walter has considerable experience as a non executive director in a diverse range of businesses. He was a founding director of the Property Industry Foundation and was chairman of this organisation from 1998 to 2003. He is currently Chief Executive Officer of Flat Glass Industries Ltd.

Nicholas James
Director and Responsible Officer
Nicholas is Chief Financial Officer of Transfield Holdings. While at Transfield, Nicholas has had responsibility for overseeing the financial performance of CLV and was closely involved in the acquisition of CLV USA (then Century) and establishment of the Fund. Prior to joining Transfield in November 2005, Nicholas was a Director of Deutsche Bank in London from 2004 to 2005, and was with Macquarie Bank prior to that from 1993 to 2004, where he worked in Sydney, then London and finally in New York.
Nicholas was associated with or led many of Macquarie Bank's landmark infrastructure transactions, including the M2 Motorway project in Sydney which was undertaken by Hills Motorway Limited, the Eastern Distributor project in Sydney, the establishment of the Macquarie Infrastructure Group (MIG), and the acquisition of the M5 and M4 motorways in Sydney for MIG.
In London he led the financial closing of the Midland Expressway Limited (M6 toll) as well as the management and refinancing of other MIG assets in Europe. In New York with Macquarie Bank Nicholas was responsible for MIG’s North American activities, including the acquisition of a toll road in San Diego and the management of MIG's interest in ETR 407, the owner and operator of a 100% electronic motorway in Toronto, Canada.

Gayle Tollifson
Independent Director
Gayle Tollifson was appointed an independent director in April 2010 and chairs the Audit, Compliance and Risk Management (ACR) Committee.
Gayle is a finance professional with extensive audit and risk management experience. In 1994, she joined QBE Insurance Group Limited as Group Financial Controller and became the Group’s first Chief Risk Officer, a position she held until her retirement from full time employment in 2006. Prior to joining QBE, she spent 14 years in public accounting, qualifying as a chartered accountant in Canada in 1981 and then working with Coopers & Lybrand in Bermuda and Australia for 11 years.
Gayle is independent chairman of Genworth Financial Mortgage Insurance in Australia and an independent director of Munich Reinsurance Australasia, RAC Insurance Pty Limited and Group GSA Pty Limited. She is a fellow of the Australian Institute of Company Directors and the Institute of Chartered Accountants in Australia. Gayle was previously a director of many QBE subsidiaries in Australia, Bermuda and Europe and until 2005 chaired the Insurance Council of Australia/Australian Prudential Regulation Authority Liaison Working Party, an industry committee that worked closely with APRA to develop prudential reforms for the general insurance industry.
